# Software license and Service Agreement

"MatrixCore" hereby reminds users to carefully read and fully understand this
Software License and Service Agreement (" Agreement ").Users should carefully
read and fully understand the terms of this Agreement, especially those relating
to the release or limitation of liability of MatrixCore, dispute resolution and
applicable law.The clauses related to the exemption or limitation of liability
have been marked in bold, please read them carefully.Please read carefully and
choose to accept or not accept this Agreement (Minors should read this Agreement
accompanied by a legal guardian).Your downloading, installation and use of the Software as well as your account acquisition and login are deemed to be your
acceptance of this Agreement and you agree to be bound by the terms of this
Agreement.
MatrixCore reserves the right to amend this Agreement.The updated terms and
conditions of this Agreement will be published on the official website or the Software and will take effect from the date of publication.After the terms of this Agreement are modified by MatrixCore, if you do not accept the modified terms, please immediately stop using the "Smart Toilet" software and service provided by MatrixCore;Continued use of the "Smart Toilet" software and Service provided by MatrixCore shall be deemed to have accepted the amended terms of this Agreement.
1.General rules
1.1. This Agreement is an agreement between you (the "User") and MatrixCore and its
operating partners (the "Partner") regarding the User's downloading,
installation and use of the Smart Toilet Software (the "Software")
provided by MatrixCore and the use of the services provided by MatrixCore.
1.2. The software and service can provide better user experience by controlling device Mode setting, parameter adjustment
1.3. The ownership and operation of the Software and Service shall be vested in MatrixCore
2.Software license scope
2.1. MatrixCore grants Users a non-transferable, non-exclusive and non-sublicensible individual license to use the Software.
2.2. Users may install, use, display and run the software on a single mobile terminal device for non-commercial purposes.However, users shall not install, use or run the software for commercial operation purposes.The User shall not copy, change or modify any software data or any data released into the memory of any terminal device during the software operation, or any interaction data generated between the client and the server during the software operation, or use plug-ins to run the software or create any form of derivative works.This includes, but is not limited to, the use of plug-ins and unauthorized third-party tools/services to access the software and related systems.If this software is to be sold, copied or distributed for commercial purposes (such as software pre-installation and bundling), written authorization and permission
must be obtained from MatrixCore.
2.3. Without the express permission of MatrixCore, User shall not install the
Software on other terminal devices, including but not limited to set-top boxes,
game consoles, television sets, DVD players, etc., without the express
permission of MatrixCore.
2.4. User may make a copy of the Software for the purpose of using the Software and Services, but only as a backup.The backup copy must contain all copyright information contained in the original software
2.5. No other rights are granted to User by MatrixCore except those expressly
authorized by this Agreement, and User shall obtain the written consent of MatrixCore to use any other rights.
3.Obtain, install, and upgrade software
3.1. Users shall download and install the software from the website designated by MatrixCore or in the manner specified by MatrixCore.Beware of downloading software from non-designated websites to prevent mobile devices from being infected with malicious programs that can destroy user data and obtain user privacy information.If you obtain the software or the installation program with the same name as the software from a third party not authorized by MatrixCore, MatrixCore cannot guarantee the normal use of the software and will not be liable for any loss caused to you.
3.2. The user must select the software version that matches the installed
terminal device.Otherwise, the user shall be solely responsible for any software problem, equipment problem or damage caused by the inconsistency between the software version and the device model. right to provide replacement, modification or upgrade versions of the software, and also reserves the right to charge fees for such replacement, modification or upgrade, subject to obtaining your consent in advance.The Upgrade Prompt function is enabled by default.MatrixCore gives users the option to enable these features, depending on the version of software they are using.After the release of the new software version, MatrixCore does not guarantee the continued availability of the old software version
4.Specification of Use
4.1. Users may use the Software and Services in compliance with this Agreement and laws.The user shall not:
4.1.1. Delete all information about copyright from the software and other
copies, or modify, delete or avoid the technical measures set up by the software to protect intellectual property rights;
4.1.2. Reverse engineering the software, such as disassembly, decompiling or other attempts to obtain the software source code;
4.1.3. Add, remove or change the function or operation effect of the software by modifying or forging the instructions and data in the operation of the software, or use the software or method used for the above purposes to operate or disseminate to the public, regardless of whether such acts are for commercial purposes or not;
4.1.4. Use software for any behavior that endangers network security, including but not limited to: using unauthorized data or accessing unauthorized servers/accounts;Accessing the public network or another person's operating system without permission and deleting, modifying or adding any stored information;Unauthorized attempts to detect, scan or test software systems or network weaknesses or other acts that undermine network security;Attempts to interfere with or destroy the normal operation of software systems or websites, intentionally spread malicious programs or viruses, or carry out other acts to destroy or interfere with normal network information services;Falsify TCP/IP packet names or partial names;
4.1.5. Users log in to or use the software and services through third-party
compatible software or systems not developed, authorized or approved by MatrixCore, or create, publish or disseminate the above tools;
4.1.6 Without the written consent of MatrixCore, the User arbitrarily performs the following acts on the software and the information in it, including but not limited to: using, renting, lending, copying, modifying, linking, reprinting, compiling, publishing, publishing, establishing mirror sites or developing derivative products, works, services, plug-ins, compatibility or interconnections related to the software without authorization;
4.1.7. Use software to publish, transmit, disseminate or store contents that violate national laws, endanger national security, national unity, social stability or public order and good customs, or any improper, insulting, defamatory, obscene or violent contents or any contents that violate national laws and regulations;
4.1.8. Use software to publish, transmit, disseminate or store contents that infringe on other people's intellectual property rights, trade secrets and other legitimate rights;
4.1.9. Using software to publish, transmit and spread advertising information in bulk or using software to publish, transmit and spread advertising information or junk information in bulk;
4.1.10. Otherwise use the Software and other Services provided by MatrixCore in any unlawful manner, for any unlawful purpose or in any manner inconsistent with the use permitted herein;
4.2. Information release Specification
4.2.1. You may use the software to publish the views, data, text, information, user name, pictures, photos, personal information, audio or video files, links and other information that you have created or have the right to publish.You must guarantee that you own the intellectual property rights or have obtained legal authorization for the uploaded information, and that the use of the software and services does not infringe the legitimate rights and interests of any third party.
4.2.2. The software shall be used in compliance with local national laws and regulations
4.2.3. Software shall not be used to perform the following acts, including but not limited to:
4.2.3.1. Create, copy, publish, disseminate or store any of the following
contents in violation of national laws and regulations:
4.2.3.2. Contents that violate the basic principles formulated by the
Constitution;
(1) Contents that endanger national security, reveal state secrets, overthrow state power or destroy national unity;
(2) Contents that harm the honor and interests of the State;
(3) Content that incites ethnic hatred or racial discrimination, or destroys national unity;
(4) destroying the state's religious policies or spreading the contents of cults or feudal superstitions;
(5) Content that spreads rumors, disturbs social order or damages social stability;
(6) Content that spreads obscenity, pornography, gambling, violence, murder or terrorist acts or instigated crimes;
(7) rights and interests of others;
(8) content that incites unlawful assembly, association, procession, demonstration or gathering of people to disrupt public order;
(9) Content related to activities carried out in the name of illegal non-governmental organizations;
(10) It contains any other contents prohibited by laws and administrative regulations.
4.2.3.3. Publish, transmit, disseminate or store contents that infringe others'legal rights (such as right of reputation, right of portrait, intellectual property rights and trade secrets);
4.2.3.4. Fabricate facts or conceal the truth so as to mislead or deceive others;
4.2.3.5. Publish, transmit or disseminate advertising information or junk information;
4.2.3.6. Participate in other acts that violate laws and regulations, policies, public order, social morality, etc.
4.2.4. Without the permission of MatrixCore, you are not allowed to carry out any commercial activities in the software such as advertising and selling goods.
4.3 You understand and agree that:
4.3.1. MatrixCore will determine whether the User is suspected of violating the above usage specifications and suspend or terminate your use license or take other restrictive measures that may be taken under this Agreement according to the result of such determination;
4.3.2. MatrixCore will directly delete any information that is suspected of violating laws or infringing others' legal rights or violating this Agreement when users use the licensed software;
4.3.3. If you violate the above rules of use and cause damage to the third
party, you shall bear legal liabilities independently in your own name and
ensure that MatrixCore is free from any loss or additional costs.
4.3.4. In the event that User violates relevant laws or provisions hereof and causes losses to MatrixCore, or is claimed by a third party, or is punished by administrative authorities, User shall indemnify MatrixCore for the losses and/or expenses incurred thereby, including reasonable attorney's fees and
investigation and evidence collection expenses.
5.Privacy policy and personal data protection
5.1. Protecting your personal data is important to <span>MatrixCore.In</span> order to provide software functionality and improve user experience, Devron will collect, use and protect your data in accordance with our privacy policy.
5.2. We may from time to time share with Xiaomi data related to
Xiaomi/Mijia/Mito and the Services, in order to provide and improve the
wonderful products and services (including software and hardware) of Xiaomi and the Xiaomi ecological chain, and provide better product functions and user experience.
6.Service Risk and disclaimer
6.1. Users must equip themselves with the equipment required by mobile terminal equipment to access the Internet and use value-added telecom services, and bear the communication fee, information fee and other related fees charged by personal mobile terminal equipment to access the Internet or by third parties (including but not limited to telecom or mobile communication providers).If you need Telecom value-added services, we recommend that you check with your telecom value-added service provider about the related fees.
6.2. MatrixCore and its partners shall not be liable for all losses suffered by users due to third party causes (such as communication line failure, technical problems, network or mobile terminal equipment failure, system instability and other force majeure factors).
6.3. Like most Internet software, the software is affected by factors including but not limited to user reasons, network service quality, social environment differences and other factors, and may be subjected to various security problems, such as harassment in real life caused by others using user data;Users download and install other software or visit other websites that contain viruses such as Trojan horses, which threaten the security of users' terminal device information and data, and thus affect the normal use of the software.Users should strengthen their awareness of information security and user data protection, and pay attention to strengthen password protection to avoid loss and harassment.
6.4. When a user uses software or requests MatrixCore to provide a specific service, "the software will invoke a third party system or software to support the user's use or access, and the results of use or access will be provided by the third party.MatrixCore does not guarantee the safety, accuracy or validity of the results achieved through the support of the above system or software, and shall not be liable for any disputes or damages arising therefrom.
6.5. MatrixCore particularly reminds users that, in order to guarantee the Company's autonomy in business development and adjustment, MatrixCore has the right to modify or discontinue the service at any time without notifying Users, and MatrixCore shall exercise the right to modify or discontinue the service without being responsible to users or any third party.
6.6. Except as expressly provided by laws and regulations, we will do our best to ensure that the software and the technology and information involved are safe, effective, accurate and reliable;However, due to the prior art, the user understands that MatrixCore cannot vouch for this.
6.7. User shall be solely responsible for personal injury or incidental and
indirect damage (including but not limited to loss of profits, loss of data, interruption of business or other business damage) caused by or in connection with any of the following:
(1) use or failure to use the Licensed Software;
(2) Unauthorized use of the software or modification of user data by a third party;
(3) Expenses and losses incurred by users during the use of the software;
(4) Users' misunderstanding of the software;
(5) Other losses related to the software that are not caused by MatrixCore
6.8. The Party at fault shall be liable for any personal or economic injury or loss caused or which may be caused by the actions of the User or other users of the Software through any software or by misleading or deceiving the User.
7.Intellectual Property Declaration
7.1. MatrixCore is the intellectual property right holder of the software.Copyrights, trademarks, patents, trade secrets and other intellectual property rights related to the software, as well as all information related to the software (including but not limited to text, pictures, audio, video, diagrams, interface design, layout, data or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and the corresponding international <span>treaties.In</span> addition to the Mi/Mijia/Mito trademark, MatrixCore is entitled to the above intellectual property rights.
7.2. Without the prior written consent of MatrixCore, User shall not use or transfer the above Intellectual Property Rights by itself or permit any third party for any commercial or non-commercial purpose.MatrixCore reserves the right to pursue legal liability for the above actions.
8.Change of agreement
8.1. MatrixCore reserves the right to modify the terms of this Agreement at its own discretion if necessary. In case of any change to the terms, the revised terms will be posted on the relevant page.If you do not agree with the content of the change, you should take the initiative to cancel the service.Any continued use of the Services shall be deemed to be acceptance of the variation in the terms of the Agreement.
8.2. MatrixCore or the cooperative Unit shall have the right to modify or change the service fee, fee standard, fee method, service fee or service terms provided by MatrixCore if necessary.In providing the service, MatrixCore may start charging certain users a fee now or in the future.If the user refuses to pay the fee, the user may not continue to use the service after the fee has been charged.MatrixCore and its partners will use their best efforts to notify users of the modifications or changes by email or other means.
9.Applicable law and dispute resolution
9.1. The validity and interpretation of this Agreement shall be governed by the laws of the People's Republic of China <span>Mainland.In</span> the absence of relevant legal provisions, refer to international business practices.
9.2. This Agreement is signed in Xiamen.
9.3. User and MatrixCore agree that any disputes arising from the Service shall be settled by the Parties through negotiation.If no agreement can be reached through negotiation, either party may submit a lawsuit to the court with jurisdiction at the place where this Agreement is signed for settlement.
10.Others
10.1. When the user uses a specific service of the software, the service may have separate agreements and related business rules (hereinafter collectively referred to as "separate Agreements"), so please read and agree to the relevant separate agreements before using the specific service.
10.2. This Agreement shall come into force on June 1, 2024.
10.3. The headings of all terms of this Agreement are for convenience only and have no actual meaning and shall not be used as the basis for interpretation of the meaning of this Agreement
10.4. Regardless of whether the provisions of this Agreement are partially
invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding upon both parties.
